The Buy-back will commence on 2 August 2021 and end no later than 1 December 2021 (subject to regulatory approval remaining in place). The purpose of the Buy-back is to reduce the share capital of the Company and therefore Ordinary Shares purchased under the Buy-back will be cancelled.

The Company has entered into an irrevocable, non-discretionary agreement with Citigroup Global Markets Limited ("Citi") to conduct the Buy-back on its behalf and carry out on-market purchases of Ordinary Shares, acting as riskless principal, and to on-sell such Ordinary Shares to the Company.

JPMS will make trading decisions in relation to the Buy-back independently of the Company. Any purchases of Ordinary Shares under the Buy-back will be carried out on the London Stock Exchange in accordance with certain pre-set parameters set out in the agreement with JPMS and in accordance with (and subject to the limits prescribed by) the Company's general authority to repurchase Ordinary Shares granted by its shareholders at the annual general meeting on 7 May 2020 (the "2020 Authority"), Chapter 12 of the Financial Conduct Authority's Listing Rules, Article 5(1) of the Market Abuse Regulation (EU) No 596/2014 (as it forms part of Retained EU Law as defined in the European Union (Withdrawal) Act 2018), the Commission Delegated Regulation (EU) No 2016/1052 (as it forms part of Retained EU Law as defined in the European Union (Withdrawal) Act 2018), and applicable US federal securities laws.

The Group delivered a Q319 return on average tangible equity (RoTE) of 10.2%, resulting in a Q319 YTD RoTE of 9.7%1



The Group continues to target a >9% RoTE for 2019 and >10% for 20201. However, given global macroeconomic uncertainty and the current low interest rate environment, it has become more challenging to achieve these targets, particularly with respect to 2020



Continuing to improve returns on a sustainable basis remains a key priority for the Group, whilst also delivering attractive capital returns to shareholders and investing in key business growth initiatives



The strengthening of the USD/GBP foreign exchange rate in the third quarter, whilst increasing costs and impairment, provided a greater benefit to income and profits

Further to the announcements by Unibail-Rodamco S.E. ("Unibail-Rodamco") and Westfield Corporation ("Westfield") in respect of the acquisition of Westfield (the "Westfield Transaction"), Barclays PLC ("Barclays") announces that on completion of the Westfield Transaction John McFarlane, Chairman of Barclays, will cease to be a Director of Westfield and will become a member of the Supervisory Board of Unibail-Rodamco. The appointment is expected to take effect on 7 June 2018, subject to the approval of Westfield's shareholders and to the completion of the Westfield Transaction.

There is no additional information required to be disclosed pursuant to paragraph LR9.6.14R of the Listing Rules of the Financial Conduct Authority.

May 11, 2018: Barclays: FCA and PRA final notices
FCA and PRA publish final notices following investigation into Jes Staley

On 20 April 2018 Barclays announced that the FCA and PRA had issued confidential draft warning notices to Jes Staley, Group Chief Executive Officer of Barclays, in relation to an attempt by Mr Staley in 2016 to identify the author of an anonymous letter.

These regulatory processes have now concluded, and today the FCA and PRA have published final notices confirming their finding that Mr Staley's actions in relation to this matter represented a breach of Individual Conduct Rule 2 (requirement to act with due skill, care and diligence). The FCA and PRA have imposed financial penalties on Mr Staley of Pound321,200 and Pound321,230 respectively (in aggregate Pound642,430). There were no findings by the FCA or PRA that Mr Staley acted with a lack of integrity nor any findings that he lacks fitness and propriety to continue to perform his role as Group Chief Executive Officer.

On 9 March 2018 Barclays was granted approval from the Prudential Regulation Authority and the High Court of Justice of England and Wales to implement the "ring-fencing" of its day-to-day banking services of Barclays using a legal process called a Ring-Fencing Transfer Scheme (the "Scheme") under Part VII of the Financial Services and Markets Act 2000.

The requirement to ring-fence day-to-day banking services, which must be completed by 1 January 2019, is one of the reforms brought in by the UK government, aiming to strengthen the UK financial system following the financial crisis that began in 2008.

Barclays has now implemented the Scheme and established the ring-fenced bank, Barclays Bank UK PLC on 1 April 2018. This entity will operate alongside, but have the ability to take decisions independently from, Barclays Bank PLC as part of the Barclays Group under Barclays PLC.

The "ring-fencing" of day-to-day banking services is one of the reforms brought in by the UK government, aiming to strengthen the UK financial system following the financial crisis that began in 2008.

Barclays intends to satisfy this requirement by setting up a ring-fenced bank, Barclays Bank UK PLC, which will be separate from Barclays Bank PLC. The two entities will operate alongside, but independently from, one another as part of the Barclays Group under Barclays PLC.

Barclays has sought approval from the Prudential Regulation Authority and the High Court of Justice of England and Wales (the "Court") to complete the restructuring, outlined above, using a legal process called a Ring-Fencing Transfer Scheme (the "Scheme") under Part VII of the Financial Services and Markets Act 2000. Feb 12, 2018: SFO also charges Barclays Bank PLC
On 20 June 2017 Barclays announced that the Serious Fraud Office ("SFO") had brought certain charges against Barclays PLC in relation to matters that arose in the context of Barclays' capital raisings in 2008. Those charges included one offence of unlawful financial assistance contrary to section 151(1) of the Companies Act 1985 in respect of a USD 3 billion loan provided to the State of Qatar in November 2008 (the "Loan"). Barclays noted that the SFO at that time had not made a decision as to whether it would also bring charges in relation to the Loan against Barclays Bank PLC.

Further to that announcement, the SFO has today charged Barclays Bank PLC with the same offence in respect of the Loan as charged against Barclays PLC on 20 June 2017 ("the Charge").

Dec 27, 2017: Barclays: Statement re US Tax Reform
Barclays notes the Tax Cuts and Jobs Act ("the Act") enacted on 22 December 2017, reducing the statutory rate of US federal corporate income tax to 21%.

Barclays expects the measurement of its US deferred tax assets ("DTAs") to reduce by c.Pound1bn as a result of the reduced tax rate and net of a c.Pound0.3bn increase to US DTAs, unrelated to the Act, due to a revaluation of Barclays Bank PLC's US branch DTAs. This aggregate reduction in the measurement of US DTAs is expected to result in an associated one-off charge of c.Pound1bn to Group profit after tax, a c.20 basis point reduction to the Group CET1 ratio and a decrease of c.6 pence to TNAV per share. These estimates are all calculated based on Barclays' financial information as at 30 September 2017 and will be accounted for in the financial year ended December 2017.

This reduction in the statutory US federal rate is expected to positively impact Barclays' future US after tax earnings. However, the ultimate impact is subject to the effect of other complex provisions in the Act (including the Base Erosion and Anti-Abuse Tax ("BEAT")), which Barclays is currently reviewing, and it is possible that any impact of BEAT could significantly reduce the benefit of the reduction in the statutory US federal rate. Due to the uncertain practical and technical application of many of these provisions, it is currently not possible to reliably estimate whether BEAT will apply and if so, how it would impact Barclays.

Dec 01, 2017: Barclays: Reduction of shareholding in BAGL
Following the transfer on 30 November 2017, subject to settlement, of a 7.0% stake in Barclays Africa Group Limited (BAGL), Barclays' total shareholding in BAGL for regulatory reporting purposes will reduce from 21.9% to 14.9%, in line with previously announced expectations. Settlement of the transfer is expected to occur on 5 December 2017. From an accounting perspective, Barclays' results already reflected the 14.9% ownership level.

For regulatory reporting purposes, Barclays currently applies proportional consolidation with respect to its stake in BAGL. The reduction in Barclays' holding announced today will reduce the percentage applied to 14.9%, and would increase Barclays' pro-forma CET1 ratio as at 30 September by 12bps.

Barclays has indicated that this represents its desired long term shareholding in Barclays Africa and that no further sales are planned at this time.

Nov 28, 2017: Barclays 2017 BoE stress test results
Barclays PLC and Barclays Bank PLC ("Barclays") note the publication today of stress test outcomes for UK banks by the Bank of England ("BoE"). Under the BoE's assessment of the effects of the modelled adverse stress scenario, Barclays' minimum stressed Common Equity Tier 1 ("CET1") ratio over the period 2017-21, after taking account of CRD IV distribution restrictions, was 7.4%, which exceeded the stress test hurdle rate of 6.8%.

The minimum stressed CET1 ratio occurred in 2018 of the test period, and was below the systemic reference point for that year of 7.9%. However, Barclays was not asked to submit a revised capital plan by the BoE in light of the steps already taken during 2017 to strengthen its capital position. These actions are reflected in the increase in Barclays CET1 ratio from 12.4% at 31 December 2016, used as the starting point for the stress test, to 13.1% reported at 30 September 2017. Conversion of Additional Tier 1 securities ("AT1s") was not triggered under the stress test outcomes.

An element of the 5.0% drawdown1 in the BoE's 2017 stress test reflects litigation and conduct issues which Barclays is aiming to resolve. Barclays continues to target an end state CET1 ratio of around 13%, although it may temporarily run above that level until these legacy issues are resolved.

The stress test hurdle rate of 6.8% comprised the 4.5% CRD IV minimum CET1 ratio requirement and the 2017 Pillar 2A CET1 requirement of 2.3%. The stress test systemic reference point for 2018 was 7.9%, which also included the 1.1% phased-in G-SIB buffer applicable in 2018 based on the November 2016 FSB G-SIB list2.

The minimum stressed UK Tier 1 leverage ratio was calculated at 3.6% after taking account of CRD IV distribution restrictions, which exceeded the 3.25% minimum hurdle rate, but was slightly below the rounded 3.6% systemic reference point. Barclays reported a 5.0% UK Tier 1 leverage ratio as at 31 December 2016, which was the starting point for the stress test modelling.

Barclays intends to satisfy this requirement by setting up a ring-fenced bank, Barclays Bank UK PLC, which will be separate from Barclays Bank PLC. The two entities will operate alongside, but independently from, one another as part of the Barclays Group under Barclays PLC.

Why is this relevant to equity and debt investors

Barclays PLC will continue to be the listed holding company for the Barclays Group, raising capital and MREL eligible funding for the Barclays Group. Both Barclays Bank PLC and Barclays Bank UK PLC will be direct subsidiaries of Barclays PLC.

Except as detailed below in relation to covered bonds, all outstanding Barclays Bank PLC and Barclays PLC externally issued debt is intended to remain with Barclays Bank PLC and Barclays PLC, respectively, post-ring-fencing.

The secured funding programmes of Barclays Bank PLC which relate to assets transferring to the ring-fenced bank will also transfer to Barclays Bank UK PLC. In respect of Barclays Bank PLC's outstanding regulated and local authority covered bonds, the issuer (and certain transaction counterparty roles currently undertaken by Barclays Bank PLC) will be substituted with Barclays Bank UK PLC. For the other secured funding programmes, including Barclays' Gracechurch credit card and mortgage securitisation programmes, there will be no change to the existing issuers, however certain of the transaction counterparty roles currently undertaken by Barclays Bank PLC will be transferred to Barclays Bank UK PLC.

How will the change happen

Equity or debt investors do not need to take any action for the above changes to take place. Barclays is seeking approval from the Prudential Regulation Authority and the High Court of England and Wales (the "Court") to complete the restructuring, outlined above, using a legal process called a Ring-Fencing Transfer Scheme (the "Scheme") under Part VII of the Financial Services and Markets Act 2000. A hearing is scheduled in November 2017 for the Court to initiate the process to consider and approve the Scheme. Subject to approval, Barclays expects to implement the restructuring and fully establish the ring-fenced bank in April 2018, ahead of the 1 January 2019 legislative deadline for implementation of ring-fencing.

Establishment of the Group Service Company and Barclays Bank UK PLC and effect on Barclays Bank PLC

Barclays Services Limited (the "Group Service Company") has been established as a direct subsidiary of Barclays PLC to deliver operational continuity, and to drive operational efficiencies across the Group. In September 2017, Barclays transferred c.Pound3.8bn of assets and liabilities from Barclays Bank PLC and its subsidiaries to the Group Service Company.

Barclays Bank UK PLC was established in August 2015 as a subsidiary of Barclays Bank PLC. In order to effect ring-fencing, Barclays intends to transfer businesses from Barclays Bank PLC and certain of its subsidiaries to Barclays Bank UK PLC, which are materially those businesses that currently comprise the Barclays UK division. Barclays expects those businesses that currently comprise the Barclays International and Head Office (excluding the Group Service Company) divisions will materially remain in Barclays Bank PLC. As previously reported, there are certain differences in the financial performance of these divisions at the Barclays PLC consolidated level compared to the Barclays Bank PLC consolidated level, in particular due to funding structures, the Group Service Company and cash flow hedging, which primarily impact the results of operations in the Head Office divisions.

Following the transfers of assets and liabilities to Barclays Bank UK PLC, Barclays Bank PLC will distribute to Barclays PLC the equity ownership of Barclays Bank UK PLC, thereby establishing Barclays Bank UK PLC as a direct subsidiary of Barclays PLC.

While Barclays' plans for UK ring-fencing are well-progressed, these plans remain subject to further regulatory approvals, Court sanction and management discretion. Accordingly, the final composition of those assets and liabilities which are to remain in Barclays Bank PLC, and those which are to be transferred to Barclays Bank UK PLC, may differ from Barclays' current expectations.

May 21, 2018: Barclays: Dismissal of SFO charges re 2008 capital raisings
Barclays announces that the Crown Court has today dismissed all charges brought by the Serious Fraud Office ("SFO") against Barclays PLC and Barclays Bank PLC regarding matters which arose in the context of Barclays' capital raisings in 2008.

Following application by Barclays to the Crown Court, the following charges have been dismissed:

charges against Barclays PLC of two offences of conspiring with certain former senior officers and employees of Barclays to commit fraud by false representations relating to two advisory services agreements entered into with Qatar Holding LLC in June and October 2008, contrary to Sections 1-2 of the Fraud Act 2006, and Section 1(1) of the Criminal Law Act 1977; and

charges against Barclays PLC and Barclays Bank PLC each of one offence of unlawful financial assistance contrary to section 151(1) of the Companies Act 1985 in relation to a USD 3 billion loan provided to the State of Qatar in November 2008.

The SFO is likely to seek to re-instate these charges by applying to a High Court Judge to re-commence proceedings via a new indictment of the same charges.

As previously disclosed‎, the FCA issued warning notices in connection with its investigation into the advisory services agreements and the United States Department of Justice and the US Securities and Exchange Commission have also been conducting investigations relating to these same agreements. The FCA's investigation in relation to the advisory services agreements has been stayed due to the SFO proceedings. Other authorities have also been kept informed of developments in these matters. In addition, as previously disclosed, a civil claim has been served on Barclays Bank PLC by PCP Capital Partners LLP and PCP International Finance Limited in relation to the November 2008 capital raising, which Barclays Bank PLC is defending.

Apr 20, 2018: Barclays: FCA and PRA conclude investigations
As announced on 10 April 2017 (the "April 2017 Announcement"), the FCA and PRA have been conducting investigations into Jes Staley, Group Chief Executive Officer of Barclays, and Barclays Bank PLC in relation to an attempt by Mr Staley in 2016 to identify the author of an anonymous letter. The FCA and PRA have now concluded these investigations.

In respect of Mr Staley, the FCA and PRA have recently issued confidential draft warning notices setting out their reasons for proposing enforcement actions. The FCA and PRA are alleging that Mr Staley's actions in relation to this matter represented a breach of Individual Conduct Rule 2 (requirement to act with due skill, care and diligence) and each have proposed that he pay a financial penalty. The FCA and PRA are not alleging that he acted with a lack of integrity or that he lacks fitness and propriety to continue to perform his role as Group Chief Executive Officer.

In accordance with the enforcement procedures of the FCA and PRA, Mr Staley now has a period during which he may review the draft warning notices and make representations to these authorities in relation to their content. Therefore, Barclays is not in a position to comment further on the draft warning notices, any discussions with the FCA and PRA or the timing of the final outcome of this matter.

In light of the draft warning notices of the FCA and PRA, the Barclays Board continues to be satisfied with its conclusions as set out in the April 2017 Announcement. The Barclays Board continues to have unanimous confidence in Mr Staley and continues to recommend his re-election as a Director at the Barclays Annual General Meeting on 1 May 2018. As set out in the April 2017 Announcement, the Barclays Board will determine what adjustment to Mr Staley' s compensation is appropriate once the FCA and PRA processes have concluded.

In respect of Barclays Bank PLC, the FCA and PRA have concluded that they will not take enforcement action in respect of this matter. However, they have proposed that each of Barclays Bank PLC and Barclays Bank UK PLC will be subject to requirements to report to the FCA and PRA on certain aspects of their whistleblowing programmes. Separately, in May 2017, the Barclays Board voluntarily commissioned independent reviews of Barclays' whistleblowing policies, processes and controls, in line with which certain enhancements have subsequently been made.

Barclays continues to provide information to, and cooperate with, authorities in the US with respect to this matter.
